Counsel - Houston, TX (West)

Overview

Under the direction of and assignment by the General Counsel, provides a complete range of corporate legal services to the Company. Responsibilities may include advising Directors, officers, and managers. As assigned, assists the General Counsel in managing the legal department including, but not limited to, supervision of contract transactional work, proposal reviews and contract comments and negotiation; Company forms including subcontracts, purchase orders, equipment lease agreements; litigation including management and selection of outside counsel, and providing litigation support; advising on human resources policies, group benefit plans, and key employee incentive plans; responsible for corporate risk management including the acquisition and maintenance of the commercial liability policies; interface with safety management including advising on policy and procedures; managing insurance defended claims including worker's compensation, automobile, general liability human resources and contract litigation; management of property policies and claims; advising on real estate contracts including purchases, financing sales and leases; manages all corporate law and licensing, including structuring business entities, mergers, acquisitions, and maintenance of corporate records; and has overview responsibility for corporate tax planning and corporate licensing. Represents the Company before federal, state, and local agencies and courts.

Supervisory Responsibilities

As assigned by General Counsel, supervises outside and in-house counsel, risk management matters, tax planning, and licensing and support staff.

Education

J.D. required and licensed to practice law in the State of Texas.

Qualifications and Experience

Minimum of three (3) years' experience practicing law. Prefer experience as transactional attorney but relevant litigation experience also will be considered. Prefer experience in relevant industry (engineering and construction).

Typical Duties and Responsibilities

• Provides legal advice to Directors, Officers and Managers.
• Assists Project Managers with project-related legal issues.
• Manages disputed claims.
• Comments on client proposals and draft contracts.
• Comments on and negotiates changes to contracts.
• Negotiates contract terms and conditions.
• Supervises litigation.
• Supports litigation.
• Supervises risk management matters.
• Advises Safety Department.
• Advises HR Department.
• Manages acquisitions, mergers, sales of corporate entities.
• Structures corporate entities.
• Maintains corporate records.
• Reviews and advises on all corporate policy.
• Represents the Company before federal, state, and local agencies and courts.

Language Skills

Ability to read, comprehend, analyze, and write legal documents. Ability to read and comprehend laws and regulations. Ability to articulate legal position and arguments in negotiations.

Mathematical Skills

General mathematical and financial knowledge.

Physical Demands

Regular attendance at work is required. Occasionally, will conduct or participate in a field trip to project sites, travel to client locations. This requires the ability to hear, stand, walk, reach, climb and balance, clear close and distant vision, depth perception and ability to focus. Ability to work extended hours and irregular hours. Lifting 25 pounds may be required.

Work Environment

Office work environment with moderate noise. Irregular and extended hours may be necessary. Occasionally, may visit project locations or owners' offices. Visits to project sites may require exposure to outdoor weather conditions, loud noise, work near moving mechanical parts, electrical energy, construction equipment, vibration, fumes, chemicals, and airborne particles.
