Responsible for overseeing administration and management of certain facets of franchise legal matters including contracts, contract maintenance, database administration, compliance, and other related activities.

KEY DUTIES / RESPONSIBILITIES :

  • Manages the end-to-end process of franchise transactions; preparing required transaction documents for development agreements, license agreements, franchise agreements, amendments, transfers, terminations, and / or early closures.
  • Drafts legal documents including letter agreements, promissory notes, addenda to existing agreements, correspondence, and defaults.
  • Provides legal support for day-to-day legal franchise matters.
  • Develops and executes renewal plan annually to ensure completion of high volume of franchise renewals; partners with and manages outside counsel for renewal transactions including tracking, expirations, and terminations.
  • Acts as a liaison to intercompany departments including but not limited to finance, development, technology, accounting and operations.
  • Assists with preparation of annual Franchise Disclosure Document (FDD); distributes and tracks the receipt of all FDDs.
  • Maintains and manages the franchise database, including franchise entity, owners, and contractual data information.
  • Prepares documents related to real estate transactions, and monitors status of real estate transactions to ensure timely real estate closings.
  • Drafts and negotiates the final terms of purchase contracts, leases, amendments, signage and any documentation required to consummate a real estate transaction / matter.
  • Assesses and resolves real estate, contract and lease issues with title / escrow companies, attorneys, surveyors, consultants, sellers, and various other internal and external clients.
  • Supports acquisition or sale of Company restaurants from beginning to end, including real estate and lease matters.
  • Supports Company's Franchise Governance Committee (FGC), including distributing agenda, taking notes, and monitoring any action to be taken. Includes collaboration across departments to provide guidance on franchise processes, communication, issue resolution and agreement compliance.
  • Manages all legal aspects of franchise transfers, including franchise to franchise transfers and ownership / estate restructures.
  • Serves as the primary contact for franchisees and their counsel to resolve legal issues
  • Drafts and reviews document packages for transfers and ownership changes, including reviewing organizational entity documents, and estate documents.
  • Analyzes franchisee transactional documents for compliance and under attorney supervision, negotiates revisions with franchisees and their counsel.
  • Performs other related duties, tasks and responsibilities as required, assigned, and directed.

QUALIFICATIONS :

Education : Bachelor's degree in Business Administration or related field, and paralegal certification required.

Experience : Minimum of 6 years in-depth experience in real estate or property management with an emphasis in franchise law and contracts.

Skills / Knowledge / Abilities :

  • Excellent oral and written English communication skills, organizational skills, and telephone skills
  • Requires in-depth knowledge of real estate regulations and customs in states where the Company engages in real estate transactions
  • Proficient knowledge of personal computers and related software (Microsoft products)
  • Effective time management skills
  • Capacity to negotiate skillfully in tough situations with both internal and external groups
  • Able to write clearly and succinctly in a variety of communication settings and styles; can get messages across that have the desired effect
  • Advanced planning and organization skills, including project management skills
  • Works on complex problems / projects where analysis of situations or data requires an in-depth evaluation of multiple factors : business, legal, and, financial
  • Exercises independent judgment within broadly defined policies and practices to determine best method for accomplishing work and achieving objectives
  • Ability to improve processes and practices while ensuring the day-to-day processing of the Company's contract management process works smoothly
  • Demonstrates integrity and ethical behavior
  • PHYSICAL REQUIREMENTS : Ability to speak / hear clearly in person and on the telephone and ability to operate a personal computer.

    The range for this position is $98,600 - $138,200 and is based on an employee located at our corporate headquarters in San Diego. If the candidate is hired in a different city to work remote, we will apply a geographic pay differential based on the cost of labor in the market in which the employee resides.
