What Commercial Transaction contributes to Cardinal Health
Legal provides the company with strategic, proactive, practical and cost-effective legal advice and services to protect assets, operations and image. This function covers commercial, corporate securities, intellectual property, labor and employment, regulatory law, and litigates company matters, while managing outside counsel and legal operations. Commercial Transaction provides legal advice and services to domestic and international businesses supporting customer, vendor, supplier, and strategic relationships, including drafting and negotiating contracts and participating in business strategy as primary day-to-day legal contacts for business clients.
Job Summary
The Senior Legal Counsel serves as the primary legal partner to leaders of a division within a business unit, providing counsel on legal issues and risk mitigation. The Senior Legal Counsel reviews and negotiates commercial agreements with external parties, protecting the business's interests and ensuring contract compliance. This role also reviews external communications for legal compliance and liaises with internal Legal and other teams to resolve legal issues.
Responsibilities
Provides excellent client service, counsels assigned division leaders on legal questions and issues such as contract compliance and confidentiality. Determines appropriate legal actions and projects associated costs for business leaders.
Drafts initial format and terms for commercial agreements and delivers agreements to customers and vendors to initiate negotiations. Interfaces with Contract Administration teams to set up contracts.
Meets with external parties to negotiate terms and achieve favorable terms for the business. Counsels business leaders on acceptance or refusal of external party terms based on legal and business considerations.
Reviews all terms and revisions from external parties and manages iterations of commercial agreement terms.
Reviews marketing and public relations communications to ensure compliance of product information and messaging.
Identifies and liaises with appropriate Legal and Compliance teams when business legal issues fall outside commercial and transaction law to achieve resolution.
Proactively identifies legal risks as a trusted business partner and provides risk-mitigation insights for strategic planning.
When litigation occurs, serves as a primary liaison and expert for the Litigation team.
Advises business unit leaders on terms, risks and due diligence during mergers and acquisitions activities.
Qualifications
Juris Doctorate degree
8-12 years of experience, preferred
Bachelor's degree in related field

Anticipated salary range : $121,600 - $173,700
