We are looking for a skilled Contracts Attorney to join our team in Hanover, Massachusetts, on a long-term contract basis. In this role, you will provide essential legal support, ensuring compliance with regulations, mitigating risks, and offering actionable advice to management. This position requires expertise in contract negotiation and vendor management, along with a solid understanding of banking regulations and corporate governance.

Responsibilities :

  • Serve as the primary legal advisor for vendor management, reviewing, drafting, and negotiating third-party contracts to ensure compliance and mitigate risks.
  • Provide legal counsel on day-to-day business operations, including managing subpoenas and ensuring adherence to documentation requirements.
  • Conduct thorough legal research to support special projects and assist in implementing new processes or business initiatives.
  • Oversee the company's trademark portfolio, ensuring proper protection and compliance with intellectual property laws.
  • Manage regulatory applications for branch openings, closings, relocations, and closures, ensuring timely and compliant execution.
  • Collaborate with management to facilitate informed decision-making by analyzing legal risks and implications.
  • Support litigation and claims management to minimize potential liabilities and associated risks.
  • Coordinate contract reviews and align vendor agreements with the company’s vendor management program.
  • Ensure compliance with governing laws, regulations, and regulatory guidelines across all legal matters.
  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active license to practice law or ability to obtain licensure promptly.
  • 3–7 years of experience in corporate, financial services, or commercial contract law, preferably within a law firm or in-house counsel role.
  • Proficiency in drafting, negotiating, and managing contracts, particularly vendor agreements.
  • Familiarity with banking regulations, vendor management processes, and corporate governance.
  • Excellent analytical and organizational skills to provide clear, actionable legal advice.
  • Ability to manage multiple priorities and meet tight deadlines.
  • Strong communication skills with a collaborative approach to working across departments.
