Are you a corporate or investment management attorney ready to elevate your impact? This expanding Private Equity & Finance team is seeking a mid-level associate (3–5 years) with demonstrated experience in investment management, private funds, and corporate transactional work. Join a collaborative, high-performing group advising leading fund managers, family offices, and institutional investors across the country.

What You’ll Do

  • Advise on the formation and structuring of open- and closed-end private funds.
  • Counsel investment advisers on complex regulatory and compliance matters.
  • Draft and negotiate investment management and sub-advisory agreements, PPMs, operating agreements, partnership agreements, subscription agreements, and side letters.
  • Support joint ventures, private equity and venture financings, M&A, and other strategic corporate transactions.
  • Collaborate with colleagues across multiple disciplines to deliver sophisticated, business-focused advice.

What We’re Looking For

  • 3–5 years of hands-on experience in investment management, private funds, or related corporate transactional work.
  • Strong drafting and negotiation skills with experience in complex fund documentation.
  • Excellent client service, written, and verbal communication abilities.
  • Team-oriented approach with the confidence to work independently when needed.
  • Bar admission in good standing in the jurisdiction of practice.
  • Work Environment

    This role offers a hybrid work model, allowing attorneys to work remotely two days per week while maintaining meaningful in-office collaboration and mentorship.
