D3 Search is actively recruiting a Corporate Counsel Attorney on a temp-to-hire basis on behalf of a respected international investment-banking firm located in Chicago, IL (90606).
Position Title : Corporate Counsel
Location : Chicago, IL (90606)
Employment Status : Temporary-to-hire (approx. 45-60 days as a temp)
Pay range : Base pay range $190,000.00 / yr - $220,000.00 / yr
Responsibilities
- Drafting, reviewing, advising on, and negotiating client engagement letters and other engagement-related agreements related to the firm’s investment banking and financial advisory activities.
- Providing day-to-day legal counseling to investment banking staff and internal stakeholders on legal, regulatory, commercial, reputational, and other issues, including contract interpretation, dispute resolution, and identification of conflicts of interest and risks.
- Staying current with legal and regulatory developments and best practices; developing, revising, implementing, and monitoring compliance policies and procedures.
- Managing and coordinating with outside counsel as needed.
- Recommending new policies and procedures to improve efficiency based on legal developments and trends.
- Assisting in the management of litigation and other disputes.
- Performing other related duties as assigned.
Qualifications
J.D. degree from a top U.S. law schoolLicensed to practice law in one or more U.S. states4-8 years of legal experience as a practicing attorney, preferably in a law firm and / or in-house legal departmentPrior experience in an investment bank is a plus but not requiredSignificant experience with and knowledge of market practices for M&A and financing transactionsVersatility across a range of matters and products; ability to adapt, learn, and share knowledgeExcellent verbal, drafting, and contract negotiation skillsStrong research skills and attention to detailAbility to work in a fast-paced environment; prioritization and multi-tasking capabilityProfessional and commercial approach to problem-solving; good judgment in interactions with internal and external contactsAbility to work independently and as part of a team with all levels of personnelExcellent interpersonal, oral, and written communication skillsStrong organizational skills and proactive issue identificationAbility to develop and maintain good working relationships with internal clients and outside counselAdditional Details
