Corporate Paralegal

Hybrid : Los Angeles, San Francisco, Chicago, New York or Austin

We are seeking an experienced Corporate Paralegal who has experience working in-house with a tech company to join our legal team. This role will support corporate governance, securities filings, subsidiary management, and strategic transactions, while collaborating with cross-functional teams in a fast-paced environment.

Responsibilities :

• Assist with corporate governance, securities filings (proxy statements, Section 16, annual / quarterly reports), and entity management (domestic & international).
• Maintain corporate records, databases, board materials, and minutes.
• Support M&A and strategic transactions (due diligence, closings, post-closing).
• Administer equity incentive programs and ensure compliance.
• Partner with tax, finance, HR, investor relations, and outside counsel.
• Support litigation, investigations, and employment-related matters.
• Manage multiple projects independently and ensure deadlines are met.
