Job Overview :

A Los Angeles-based law firm recognized for its excellence in corporate law is seeking an experienced associate attorney to join its Data and Technology Transactions practice group. This opportunity is ideal for legal professionals passionate about advising clients on complex intellectual property and technology-related commercial agreements. The selected candidate will collaborate with cross-disciplinary teams and guide on transactional matters involving innovative technologies and digital platforms.

Duties :

Draft, negotiate, and advise on a range of technology-related commercial agreements, including :

Software and technology licenses

Development and consulting services agreements

Cloud computing, SaaS, and digital platform agreements

Website and mobile app terms of use and privacy policies

Strategic collaborations, joint ventures, and reseller / distribution arrangements

Conduct intellectual property due diligence in support of :

Mergers and acquisitions

Venture capital and private equity investments

Corporate finance and licensing transactions

Work closely with clients in the technology, media, and life sciences sectors to structure and close IP-driven deals

Provide counsel on data privacy and regulatory issues as they pertain to digital services and products

Collaborate with internal teams to ensure compliance with firm protocols and client confidentiality standards

Requirements :

Minimum of 3 years of focused experience in technology and intellectual property transactions

Demonstrated ability to manage complex agreements with minimal supervision

Prior involvement in transactional due diligence for corporate or finance deals

Familiarity with emerging technologies and data governance principles

Education :

Juris Doctor (JD) from an accredited law school

Certifications :

Active membership in good standing with the California Bar

Skills :

Strong analytical and drafting skills with a keen eye for detail

Proficient in managing multiple client matters under tight deadlines

Effective communicator with both technical and non-technical stakeholders

Ability to operate in a collaborative and fast-paced environment
