We are seeking a seasoned Mergers and Acquisitions Attorney to join our dynamic legal team. The successful candidate will be a key contributor to our high-performing legal department, providing expert legal counsel on a wide range of complex M&A transactions. This role offers an exciting opportunity to work in a fast-paced environment, where you will be responsible for managing all legal aspects of our company's M&A activity, from initial negotiations through to closing.
Responsibilities :
1. Lead and manage all legal aspects of M&A transactions, including mergers, acquisitions, joint ventures, divestitures, and other strategic initiatives.
2. Draft, review, and negotiate a broad range of legal documents such as merger agreements, acquisition agreements, confidentiality agreements, and ancillary transaction documents.
3. Coordinate with internal and external stakeholders to conduct comprehensive due diligence reviews.
4. Provide legal advice and guidance on potential risks and issues related to proposed M&A transactions.
5. Develop and implement best practices for M&A processes and procedures.
6. Collaborate with cross-functional teams to ensure transactions are completed in accordance with company policies, regulatory requirements, and legal obligations.
7. Provide ongoing legal counsel and support to senior management and other internal clients on M&A-related matters.
Qualifications :
1. Juris Doctor (JD) degree from an accredited law school.
2. A minimum of 3+ years of experience as a Mergers and Acquisitions Attorney or similar role.
3. Strong knowledge of corporate law, business litigation, and legal document preparation.
4. Proven track record of managing complex M&A transactions from inception to completion.
5. Exceptional negotiation skills with the ability to resolve issues and address queries promptly and effectively.
6. Excellent legal drafting and reviewing skills.
7. Strong organizational skills, with the ability to manage multiple tasks concurrently and meet deadlines.
8. Excellent interpersonal and communication skills, with the ability to interact effectively with all levels of the organization.
9. Must be admitted to practice law in the state and in good standing.
10. Demonstrated ability to work effectively both independently and as part of a team.
11. High degree of professional ethics, integrity, and gravitas.
12. Ability to think strategically and creatively, to identify and resolve legal issues, and to maintain strong attention to detail.
