Commercial Contracts Counsel SaaS Services

We are seeking an experienced attorney to join our legal team with a primary focus on drafting, reviewing, and negotiating commercial agreements related to the purchase and sale of Software-as-a-Service (SaaS) solutions. The ideal candidate will bring strong commercial contracting experience, excellent negotiation skills, and the ability to support business teams in complex, fast-paced transactions.

In this role, you will :

  • Draft, review, and negotiate a wide range of commercial contracts, including SaaS subscription agreements, master service agreements, professional services agreements, reseller / distribution arrangements, and confidentiality agreements.
  • Partner with sales, product, procurement, and compliance teams to facilitate transactions while managing legal risk.
  • Advise on contract interpretation and dispute resolution, ensuring compliance with applicable legal and regulatory requirements.
  • Develop and improve contract templates, playbooks, and negotiation guidelines to streamline the contracting process.
  • Monitor and analyze legal developments in commercial contracting and SaaS delivery models, and provide practical guidance to stakeholders.
  • Collaborate with outside counsel as needed.

What We're Looking For :

  • Juris Doctor (J.D.) from an accredited law school and admission to at least one U.S. state bar.
  • Minimum of 5 years post-law school experience, including at least 3 years directly focused on drafting and negotiating commercial agreements.
  • Strong knowledge of contract law and commercial transactions; experience with SaaS agreements highly preferred.
  • Familiarity with intellectual property issues in technology licensing and services agreements.
  • Excellent drafting, analytical, and communication skills, with the ability to balance legal and business considerations.
  • Detail-oriented, organized, and able to manage multiple projects with competing priorities.
  • Preferred Qualifications :

  • Exposure to regulatory issues under the Investment Advisers Act of 1940 and the Securities Exchange Act of 1934.
  • Experience working with or advising financial services, fintech, or investment advisory businesses.
  • Ability to work both independently and collaboratively in a team-oriented environment.
  • Compensation & Benefits :

    For this role, the salary range is $200,000 to $250,000 + equity. Actual compensation will vary based on skills, experience, and interview performance.
