To help transition the global energy system from a carbon-based grid to a renewable grid, large-scale energy storage must be introduced to balance intra-hour supply and demand. Energy storage enables high penetration of variable renewables like solar and wind.
We are looking for an Associate General Counsel, Origination & Commercial to join the Legal Team (with a cross-functional relationship to the Origination & Commercial Team). This role will provide legal advice and support to the Origination & Commercial Team for utility-scale standalone storage projects across North America, under the guidance of the General Counsel.
Key Responsibilities
Partner with the Origination and Commercial Team in negotiation of offtake agreements, including tolling agreements and other structured offtake
Support the Origination and Commercial Team in due diligence and negotiations on M&A opportunities
Support the Origination and Commercial Team in reviewing RFPs and developing comprehensive bid submittals, including markups of key agreements
Function as an internal quarterback for offtake transactions, soliciting feedback from subject matter experts and integrating feedback into deal structure and documents
Support the Finance Team (in conjunction with the Origination and Commercial Team) to provide commercial inputs / deliverables for project finance transactions
Oversee Outside Counsel on select transactions and assist in the selection of such outside counsel
Skills & Qualifications
J.D., Required
Minimum 3-4 years of top-tier law firm experience in (renewable) energy project development
At least 1-2 years of in-house legal experience with a renewable energy / standalone energy storage developer or investor-owned utility, focusing on resource procurement and M&A
Experience leading negotiations of power purchase agreements
Experience structuring and negotiating project-scale M&A transactions
Knowledge of project finance structures and implications on project development / M&A transactions
Strong business acumen with excellent commercial judgment
Highly organized with impeccable attention to detail
Ability to manage multiple priorities and deliver timely, high-quality results
A collaborative, entrepreneurial, and inquisitive mindset
Ability to effectively use Microsoft Office products – Word, Excel, PowerPoint
Demonstrated ability to work collaboratively in a cross-functional environment with both technical and non-technical team members who are geographically dispersed
Compensation, Location, and Benefits
Highly competitive total compensation from one of North America's leading energy storage developers, owners and operators. Flexible, work from home or hybrid work from Plus Power's offices in San Francisco, Houston, Chicago, Seattle, and Palm Beach.
The expected salary range for this position begins at $250,000. We may pay more or less than the posted range based on factors including experience, skills, qualifications, geographic labor market, and other factors consistent with applicable law. This position is eligible to participate in our annual bonus program.
