JOB OVERVIEW

We are seeking a Business Advisory & Transactional Attorney with strong technical skills and a client-first mindset to handle a wide range of complex deals, advising on ownership and governance structures, and helping clients navigate pivotal business decisions. This role requires balancing detailed legal work with meaningful client interaction.  The ideal candidate will have a strong background in business transactions and corporate governance. This role requires both technical precision and the ability to communicate persuasively with clients, opposing counsel, and stakeholders

Key Responsibilities

• Advise clients on business formation, restructuring, and dissolution.
• Draft, review, and negotiate core corporate documents, including operating agreements, shareholder agreements, bylaws, and buy-sell agreements.
• Handle mergers, acquisitions, divestitures, and sales of business assets.
• Counsel boards of directors and executives on governance and fiduciary responsibilities.
• Guide clients through ownership transitions, capital restructuring, and partner exits.
• Provide strategic legal advice on franchising and related business model decisions.

Collaborate with clients and internal teams to ensure accurate, timely execution of transactional matters.
