General Counsel

Vice President, Attorney Placements at Firm Advice, Inc.

Firm Advice is searching for a General Counsel to join a 501(c)(3) nonprofit headquartered in Washington, DC. This General Counsel / attorney (actual title will depend upon experience) will serve as the organization’s chief legal advisor, overseeing all aspects of legal, compliance, and governance matters. Working closely with senior leadership and the board of directors, the selected individual will proactively identify legal and regulatory issues, deliver sound and timely counsel, craft and implement strategies, and take primary responsibility for managing legal risks across the organization.

Key areas of oversight include finance and tax compliance, contract review and drafting, employment and human resources matters, intellectual property, political and ethics regulations, and recordkeeping policies.

Responsibilities

• Provide legal guidance on federal, state, and local laws governing 501(c)(3) and 501(c)(4) organizations.
• Partner with the Finance team and external advisors on compliance and reporting obligations, including preparation and review of annual Form 990 filings.
• Oversee risk management and insurance coverage reviews and renewals.
• Maintain and periodically update organizational policies and procedures.
• Develop and deliver legal training sessions for staff.
• Manage relationships and work with outside counsel as needed.
• Advise on corporate governance issues and ensure board compliance with bylaws and other governing documents.
• Perform other related duties as assigned by senior management or the board.

Requirements

Salary Range : 180k - 350k per year. This range reflects the employer’s good faith estimate of pay at the time of posting. Exact compensation will depend on a variety of job-related factors that may include, but not limited to, qualifications, relevant experience or education, and particular skills or expertise.
