Why this role
Own the front-office work most firms reserve for VPs : originate, model, draft IOIs / LOIs, and run diligence to closing directly with the Managing Partner on live US deals in industrial services and value-add distribution.
What you’ll do (outcomes >
activities)
- Origination & thesis
- Build / sub-segment target lists; orchestrate 1,000+ monthly touches with Analyst / VA support.
- Write 1–2 page thesis briefs per niche; map buyer / supplier dynamics and pricing power.
- Evaluation & pricing
- Slice CIMs into crisp 2-page memos within 48 hours; set working-capital pegs and quick comps.
- Build from-scratch LBOs (3-statement integrated, debt schedule, sensitivities, returns).
- Bidding & negotiation prep
- Draft IOIs / LOIs (price, structure, earn-out, escrow, exclusivity) and run seller Q&A.
- Prepare lender / LP packs (sources / uses, credit stats, covenant headroom, downside cases).
- Diligence to close
- Coordinate QoE / accounting, legal checklists, and data rooms; track issues to resolution.
- Convert red-flags into structure / price adjustments; keep timeline and budget on rail.
- Internal leadership
- Coach an Analyst / VA; keep CRM + pipeline KPIs current; present weekly to IC.
What great looks like (screening bar)
4–6 years total :Big-4 Corporate Finance / TS / Valuations (Deloitte / PwC / SGV / KPMG) plus 1–2 years PE / IB / search-fund execution, ideally with ≥1 closed deal you supported end-to-end.Modelling : you can build a clean, auditable 3-statement + LBO in under 6 hours without templates.Docs : you’ve written or red-lined IOIs / LOIs, and can articulate rep / indemnity basics in an SPA.Communication : board-ready slides and crisp memo writing; fluent English on US seller / LP calls.Tools : Excel / PowerPoint power user; comfortable with PitchBook / CapIQ, HubSpot (or similar CRM).Pluses (nice-to-have) : CFA / CPA; US lower-middle-market exposure; sector familiarity in industrial services / distribution ; light SQL / Python for analysis.
