Job Summary We are seeking a business-oriented Legal Counsel to support commercial and corporate legal matters, particularly in the context of data-driven healthcare innovation. This role involves drafting and negotiating a wide range of agreements, advising internal stakeholders, and supporting compliance and regulatory initiatives. The ideal candidate will have strong legal experience, excellent communication skills, and the ability to work independently in a fast-paced environment. Key Responsibilities Draft and negotiate commercial agreements including SaaS, professional services, non-disclosure, and data sharing contracts. Collaborate with cross-functional teams (Sales, Product, Finance) to manage the contracting process and drive deals to closure. Assist with intellectual property management, corporate governance, and other legal matters. Support privacy compliance activities, risk assessments, and related regulatory requirements. Respond to third-party requests including litigation holds and electronic discovery. Advise internal clients on contract interpretation, dispute resolution, and risk allocation. Conduct legal research and provide guidance on healthcare regulations, including Medicare and Medicaid compliance. Support the development and integration of legal policies and control procedures into business operations. Participate in legal and compliance program initiatives and special projects. Maintain compliance with company policies, confidentiality standards, and HIPAA requirements. Required Qualifications Minimum 5 years of relevant legal experience, including at least 2 years in a law firm, corporate legal department, or similar environment. Experience in commercial contracting, including drafting, reviewing, and negotiating complex agreements. Ability to independently manage and close commercial transactions. Strong understanding of healthcare privacy and security regulations. Excellent written and verbal communication skills. Strong business judgment and ability to balance legal risks with business needs. Detail-oriented and self-motivated with the ability to work independently. Preferred Qualifications Experience in healthcare, regulated industries, or healthcare-focused government agencies. Experience with high-volume commercial transactions in sales-driven or technology companies. J.D. degree from an accredited law school.
