Responsibilities

Shape legal strategy for executive / director compensation, equity programs, and disclosures (proxy / CD&A, 8-Ks, Section 16)
Advise on insider trading policies, shareholder proposals, and ERISA-related issues
Prepare board materials and serve as Assistant Secretary to the Compensation Committee
Lead subsidiary governance and contribute to broader corporate governance initiatives
Mentor and manage legal team members

Qualifications

JD required with 10+ years of legal experience (law firm + in-house preferred)

Proven expertise in securities law, executive compensation, and governance

Exceptional leadership, communication, and cross-functional collaboration skills

Details

Location : Chicago, IL

Salary : $188,000.00-$323,950.00
