Job Order : Corporate Attorney – Capital Markets / M&A / Securities (Remote)

We are currently partnering with a respected firm seeking an experienced Corporate Attorney with a strong background in Capital Markets, Mergers & Acquisitions (M&A), and Securities .

This is a fully remote position offering flexibility and the opportunity to work on sophisticated transactions while maintaining a balanced billable target. The firm values attorneys who are proactive, detail-oriented, and able to manage complex corporate matters independently while collaborating with a skilled legal team.

This position is urgent, and candidates must have federal admission.

Position Details

  • Title : Corporate Attorney – Capital Markets / M&A / Securities
  • Location : Remote (United States)
  • Billables : 1,800 hours per year (flexible)
  • Experience Level : 4–8+ years of experience
  • Compensation : $175,000 – $225,000 (depending on experience)
  • Bonus : Discretionary performance-based bonus
  • Licensing : Federal admission required

Key Responsibilities

  • Advise clients on a variety of corporate and securities law matters , including capital markets transactions, public and private offerings, and M&A.
  • Draft, review, and negotiate complex transaction documents, including purchase agreements, securities filings, and disclosure materials.
  • Provide counsel on SEC compliance, corporate governance, and regulatory issues .
  • Collaborate with internal and external teams to ensure smooth execution of deals and client objectives.
  • Maintain and develop client relationships through strong communication and strategic advice.
  • Ideal Candidate

  • 4–8+ years of corporate law experience, preferably in capital markets, M&A, or securities transactions .
  • Federal admission required , additional state bar admissions a plus.
  • Strong understanding of federal securities regulations and compliance.
  • Excellent drafting, negotiation, and analytical skills.
  • Self-motivated professional comfortable working remotely with minimal supervision.
