Job Summary
JOB SUMMARY : Manage contract development through all lifecycle stages (draft, revision, approval, filing, and distribution), ensuring that insurance and legal requirements are met and internal processes and records are maintained; key duties include
Draft and manage a variety of contractual documents, including NDAs, Master Service Agreements, Teaming Agreements, Task / Work Orders, Prime / Subcontracts, and Vendor Agreements.Serve as the primary point of contact between the organization and contractors / subcontractors.Provide on-going assistance to staff on contract development and compliance issues.Coordinating with outside legal teams when needed.Creating and revising contract documents, ensuring accuracy and clarity of terms and conditions, including legal language.Be responsible for contract administrative duties, including tracking and maintaining internal and subcontractor insurance certificates.Tracking contract compliance, managing contract renewals, and monitoring contract performance against key metrics.Manage all phases of the change order process (internal, external, and subcontractor)Identifying potential risks within contracts and proposing mitigation strategies.Communicate with stakeholders and collaborate with internal teams like finance and project management to ensure alignment and address contract-related issues.Ensuring that contracts adhere to relevant laws, regulations, and company policies.Generate reports and analyze contract status, key performance indicators, and identify areas for improvement.Responsible for understanding contract law, legal terminology, and relevant regulations and can clearly articulate complex contract terms and effectively communicate contract language with stakeholders.Analyzing contract details to identify potential risks and opportunities.Request and collect W-9 forms from Prime and subcontractors.Ensuring accuracy in contract documentation and compliance with legal requirements.Drafting clear and concise contracts with appropriate legal language, legal operations, and procurement.Develop contract training materials and train staff.Knowledge
High proficiency with Microsoft Office Suite and SharePoint.Basic principles of contract law.Contract administration.Use and evaluation of insurance certificates.Records management principles and procedures and maintenance of files and file systems.Preferred Experience & Training
Minimum of 5-10 years of experience in contract administration or a related field.At least three years' experience with preparing a variety of contract documents; writing, administering and enforcing contracts and legal agreements.Managing records.Any combination of experience and training that provides the equivalent scope of knowledge, skill and technical ability to properly perform the work as described.Familiarity with Federal Acquisition Regulation (FAR) and Defense FAR Supplement (DFARS) is preferred, but not a requirement.
