Team Overview
The legal team partners closely with senior leadership and cross-functional departments to provide strategic legal guidance on securities regulation, corporate governance, and executive compensation. The team plays a critical role in ensuring compliance, supporting shareholder engagement, and advising on disclosure and governance best practices.
Position Summary
The Senior Counsel will serve as a key legal advisor on securities law, financing transactions, and governance matters. This role requires a proactive, business-oriented attorney who can navigate complex regulatory landscapes and collaborate effectively across departments.
Key Responsibilities
- Advise on public company reporting obligations, including periodic and current filings (Forms 10-K, 10-Q, 8-K) and proxy statements
- Provide legal support for financial disclosures, earnings releases, and investor communications
- Counsel on corporate finance transactions, including debt offerings, credit agreements, derivatives, and share repurchase programs
- Advise on ESG-related disclosure requirements and emerging regulatory trends
- Oversee disclosure controls and securities-related policies and procedures
- Support board and committee meeting preparation and governance documentation
- Assist with shareholder engagement efforts and annual meeting planning
- Address shareholder proposals and stakeholder inquiries through cross-functional collaboration
- Provide guidance on Delaware corporate law and governance issues
- Partner with internal teams such as Treasury, Investor Relations, and Accounting on ad hoc legal matters
- Collaborate with legal team members and paralegals to ensure seamless execution
Qualifications
J.D. from an accredited law school; active bar membership in any U.S. jurisdictionDeep understanding of SEC regulations and NYSE listing standardsMinimum of 7 years of legal experience focused on securities regulation and corporate governancePrior in-house legal experience preferredFamiliarity with financial statements and corporate financeProven ability to advise senior leadership and lead cross-functional initiativesCompensation & Benefits
Base salary range : $168,350 - $218,860Annual bonus eligibilityLong-term incentive programFull benefits package including health, retirement, and wellness programs
