Position Summary :

The Senior Assistant Counsel is a vital part of the organization team devoted to preserving and creating affordable housing resources. This legal support facilitates affordable housing resources for nearly low-income households. The primary focus of this Senior Assistant Counsel position is management of the corporate governance function and contract drafting and negotiations, regulatory interpretation, and advising on procurement.  The Senior Assistant Counsel will also provide advice on matters relating to government regulations and other legal matters impacting the business of, as directed.

Essential Duties and Responsibilities :

The essential duties and responsibilities of the Senior Assistant Counsel include, but are not limited to, the following, as may be assigned by the Deputy General Counsel :

• Manages the corporate governance function and all matters pertaining to the Board of Commissioners, including providing oversight and supervision for the preparation of the monthly, special, and annual and affiliate meetings.  Performs high-level policy and corporate counsel responsibilities related to the business governing Board, affiliates, Executive Team, other senior executives and Business Units. Provide legal advice on board governance issues, including fiduciary, regulatory compliance, and corporate matters.  Serves as a key point of contact with business units and senior executives regarding governance matters.
• Assist in the oversight of contracting and procurement matters including the drafting, reviewing and negotiation of general business contracts, intergovernmental agreements, change orders, and task orders that are to be entered into by the organization.  Also prepares legal documents, including memoranda, letters, and other transactional documents, as well as legislation to be presented before the City Council or the Fulton County Board of Commissioners.
• Conduct legal research and provide legal analysis of relevant issues and concerns.  Interpret laws, rulings, and regulations.
• Provides leadership, mentoring and training to subordinate attorneys, legal assistants and paralegals.
• Performs such other related duties as required or assigned.

Working Conditions :

Work in a standard corporate office, although, there is currently an ability to work in a hybrid home office and in-office environment. The office environment is moderately paced with multi-task working conditions.  May require frequent bending, stooping, reaching and prolonged sitting and / or standing. May require regular lifting usually not exceeding 15 lbs.  Some travel may be required. May require a valid State of Georgia driver's license and be fully insurable for the purpose of obtaining clearance on an authorized drivers list.  May spend extended periods of time reading, reviewing, and writing legal and related corporate documents.
