We are looking for a strategic and business-oriented legal leader to serve as the first in-house legal counsel for our U.S. operations. Based in Miami, Florida, this role will play a pivotal part in establishing our legal framework, supporting growth initiatives, and ensuring compliance across all areas of the business. This is a unique opportunity to collaborate with our European headquarters and external legal teams, while building the foundation for our U.S. legal strategy. Responsibilities :
- Draft, review, and negotiate various contracts, including service agreements, sponsorships, leases, and vendor partnerships.
- Develop and implement standardized contract templates and efficient workflows.
- Oversee legal negotiations related to property leases and rentals, ensuring compliance with zoning and regulatory requirements.
- Establish and manage U.S. legal entities, corporate structures, and governance matters such as bylaws and board resolutions.
- Collaborate on mergers and acquisitions (M& A) activities alongside Group Legal and external counsel.
- Ensure adherence to federal, state, and local regulations across all business operations.
- Identify and mitigate legal risks while maintaining compliance in employment, data privacy, and intellectual property.
- Manage pre-litigation matters and coordinate insurance portfolios.
- Serve as the primary legal advisor for U.S. teams, supporting cross-functional departments such as HR, finance, operations, and marketing.
- Align U.S. legal strategies with global objectives through close collaboration with the Group Legal team.
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in the Florida Bar or eligibility to practice law in Florida.
- A minimum of 7–10 years of legal experience, preferably combining law firm and in-house roles.
- Expertise in commercial contracts, corporate law, real estate transactions, and regulatory compliance.
- Familiarity with international or cross-border legal matters is highly desirable.
- Fluency in both English and French is essential for effective global collaboration.
- Proactive, independent, and business-savvy approach to legal problem-solving.
- Strong negotiation skills and ability to manage complex legal issues effectively.
