Position Overview
We are seeking a highly organized and detail-oriented Senior Manager, Corporate Governance to join our legal team at JLL's global headquarters in Chicago, Illinois. This role requires a regular office presence (2-3 days per week) and will serve as a key member of our corporate governance function.
The successful candidate will provide critical support for JLL's corporate governance framework, ensure compliance with regulatory requirements and internal policies, and manage relationships with key stakeholders across the organization and with external vendors.
Key Responsibilities
Corporate Compliance & Regulatory Management
- Serve as primary relationship manager with Computershare, our third-party corporate governance and compliance vendor
- Prepare and coordinate SEC filings, including Section 16 reports, proxy statements, Forms 8-K, and other required disclosures
- Monitor and ensure compliance with NYSE listing standards, SEC regulations, and other applicable requirements
- Implement governance best practices and stay current on evolving regulations and standards
Board of Director and Officer Engagement
Develop and maintain Board of Director Onboarding and Training MaterialsCoordinate annual Director & Officer Questionnaire processPrepare Board of Director annual assessment surveys and related materialsPrepare related party transaction reportsDocumentation & Record Management
Draft, review, and maintain corporate governance materials, including :Annual director and officer consentsCorporate resolutions and certificatesBoard and committee meeting agendas and minutesSubsidiary governance documentationProvide oversight for the Global Entity Management System (GEMS) platform, ensuring accurate and up-to-date entity informationDevelop and maintain comprehensive governance documentation librariesEntity Management
Oversee formation, maintenance, and dissolution processes for JLL legal entities globallyCoordinate with local counsel and business units on entity-related mattersManage entity compliance calendars and ensure timely filingsPrepare global consolidated entity and affiliate reportsPolicy Development & Implementation
Support the drafting, review, and implementation of corporate policies and proceduresAssist with policy communication and training initiativesMonitor policy compliance and recommend improvementsTeam Leadership & Stakeholder Management
Manage and develop other corporate governance team membersRespond to and address governance requests from global business and legal stakeholdersServe as a trusted advisor on corporate governance matters throughout the organizationQualifications
Education & Experience
Bachelor's degree and paralegal certificate required5-7 years of progressive experience in corporate governance or SEC compliance, preferably in a publicly-traded companyExperience in a global organization preferredTechnical Knowledge
Strong working knowledge of EDGAR (including EDGAR Next) filing systems and Computershare Section 16 managerComprehensive understanding of corporate law, securities regulations, and governance best practicesExperience with board portal software (e.g., Diligent, BoardVantage) preferredFamiliarity with global entity management systemsSkills & Attributes

Estimated total compensation for this position : 125,000.00 150,000.00 USD per year
