Job Description
What you will be doing :
- Draft, review, and negotiate contracts and agreements, including internal business, vendor, client, employment, and any other agreements.
- Advise firm leadership on corporate governance, entity structuring, and risk management.
- Provide legal support for business operations, including compliance with business laws, employment laws, privacy regulations, and industry standards.
- Counsel on intellectual property, data protection, and dispute resolution matters.
- Oversee outside counsel as needed for specialized matters.
- Develop and implement firm policies and procedures to ensure compliance with legal, regulatory, and ethical obligations.
- Provide legal advice and representation on tax matters, including individual and business tax disputes, audits, and litigation.
- Assist in navigating complex federal, state, and local tax laws, offering strategic planning and advice to minimize tax liability.
- Represent the firm in front of tax authorities, including the IRS and state agencies, to resolve disputes, appeals, and audits.
- Draft and review tax documents, filings, and legal briefs, ensuring compliance with applicable laws and regulations.
- Offer guidance on estate planning, business formation, mergers, acquisitions, and other transactions with tax implications.
- Stay current on changes in tax legislation and regulations and proactively advise on their impact.
- Work closely with finance and operations teams to integrate legal, tax, and accounting considerations into strategic planning.
- Provide solutions that align with both legal requirements and business objectives.
- Maintain a high level of confidentiality, professionalism, and ethical standards in all dealings with clients and colleagues.
Experience you will need :
Juris Doctor (JD) from an accredited law school.Licensed to practice law in Pennsylvania.Demonstrated experience with contract drafting, review, and negotiation.Minimum of 3 years of experience in tax law, with a focus on tax planning, compliance, and dispute resolution.Strong knowledge of federal, state, and local tax laws, as well as IRS procedures.Excellent research, analytical, and problem-solving skills.Strong communication skills, both written and verbal, with the ability to explain complex issues clearly.Ability to manage multiple priorities in a fast-paced environment.Preferred Qualifications :
LLM in Taxation or other advanced tax qualifications.Certified Public Accountant (CPA) license.Prior experience serving as in-house counsel in a corporate or law firm setting.Experience with business tax issues.Familiarity with corporate compliance.Our client asked me to submit 3 great people within the next few days.
