TITLE : HEALTHCARE TRANSACTIONAL ATTORNEY

Job Summary :

We are seeking an experienced Healthcare Transactional Attorney to join our client's team. The ideal candidate will have significant experience advising healthcare clients on corporate and transactional matters, including structuring, negotiating, and drafting agreements in a highly regulated industry. This attorney will work closely with healthcare providers, executives, and other stakeholders on a wide variety of transactions while also providing regulatory guidance to ensure compliance with applicable state and federal laws.

Key Responsibilities :

• Advise clients on a broad range of corporate and transactional matters within the healthcare sector, including mergers, acquisitions, joint ventures, partnerships, reorganizations, and related agreements.
• Draft and negotiate contracts such as asset purchase agreements, stock purchase agreements, operating agreements, management services agreements, vendor agreements, and employment agreements .
• Provide counsel on regulatory compliance , including Stark Law, Anti-Kickback Statute, HIPAA, licensing, and other healthcare regulatory frameworks.
• Support clients in structuring business arrangements to achieve both business objectives and compliance with federal and state healthcare laws.
• Collaborate with colleagues across practice areas to address client needs in litigation, regulatory, and transactional matters.
• Contribute to the Firm’s ongoing business development efforts by maintaining and expanding client relationships; a portable book of business is preferred but not required.
