Position Summary
We are seeking a dynamic and business-oriented attorney to join our legal team as Corporate Counsel focused on Mergers & Acquisitions. This role will be responsible for supporting the company's strategic growth initiatives through acquisitions, divestitures, joint ventures, and other corporate transactions. The ideal candidate will have strong experience in M&A, corporate governance, and transactional work, and will thrive in a fast-paced, collaborative environment.
Key Responsibilities
- Lead and support all phases of M&A transactions, including structuring, negotiation, due diligence, documentation, and integration.
- Draft and negotiate a wide range of transaction documents, including NDAs, LOIs, asset and stock purchase agreements, and ancillary agreements.
- Collaborate with cross-functional teams (Finance, Tax, HR, Operations, etc.) to assess legal risks and ensure smooth execution of deals.
- Manage outside counsel relationships and coordinate legal workstreams across jurisdictions.
- Advise senior leadership on legal and strategic issues related to corporate development and capital allocation.
- Support post-closing integration and ongoing legal matters related to acquired entities.
- Assist with corporate governance matters, including board materials and resolutions related to transactions.
Qualifications
J.D. from an accredited law school and active bar membership in good standing.5+ years of experience in M&A, preferably with a mix of law firm and in-house experience.Strong understanding of corporate law, securities regulations, and transactional structures.Excellent drafting, negotiation, and communication skills.Ability to manage multiple projects and stakeholders in a deadline-driven environment.Business-minded with a collaborative approach to problem-solving.Preferred Qualifications
Experience in a public company or regulated industry (e.g., healthcare, technology, defense).Familiarity with international transactions and cross-border deal structures.Exposure to equity compensation, corporate finance, or securities filings is a plus.Compensation & Benefits
