Position Overview
The Contract Counsel will serve as a corporate generalist with a primary focus on reviewing and negotiating contractual agreements across the organization. This individual will work closely with cross-functional teams—including Privacy, Information Security, and Vendor Risk Management—to mitigate risk, ensure compliance, and advance business objectives. The ideal candidate is detail-oriented, highly adaptable, and able to balance competing priorities in a fast-paced environment.
Key Responsibilities
- Review, draft, negotiate, and manage a wide range of vendor and business contracts with an emphasis on risk mitigation.
- Resolve low to medium complexity issues arising from vendor contract negotiations, escalating matters as needed.
- Advise internal stakeholders on contract interpretation, documentation, and negotiation strategy.
- Partner with Privacy, Information Security, and Vendor Risk teams to address legal concerns in technology and data-related agreements.
- Identify potential legal risks and recommend strategies to protect the institution’s interests.
- Ensure consistent handling of legal matters in alignment with organizational policies and best practices.
- Lead regular meetings with business partners to report on contract review status and key updates.
- Mentor and supervise junior legal analysts supporting the contract review process.
- Perform additional duties and special projects as assigned.
Qualifications
Juris Doctor (JD) degree required.Active license to practice law in the State of New York.Minimum of 2 years of relevant legal experience within a law firm, government agency, bank, or financial institution—at least 2 years focused on vendor contract negotiation and management.Strong understanding of information technology, data privacy, and cybersecurity issues related to vendor contracting.Excellent analytical, organizational, and communication skills.Proven ability to develop strong working relationships with internal clients while ensuring compliance with all regulatory and legal requirements.Demonstrated leadership and mentorship abilities.
