An outstanding opportunity presents itself for a mid-level associate to join the esteemed Investment Management Group in Chicago. This distinguished team is recognized for its profound expertise in advising on the structuring, offering, operation, and regulation of registered investment companies, encompassing closed-end funds, mutual funds, exchange-traded funds, and business development companies.

Key Responsibilities :

  • Provide counsel to fund sponsors, underwriters, and service providers regarding the structuring, offering, operation, ongoing financing, and regulatory compliance of registered investment companies such as closed-end funds, mutual funds, exchange-traded funds, and business development companies.
  • Deliver comprehensive corporate and regulatory guidance to boards of directors overseeing registered investment companies and business development companies.
  • Collaborate closely with colleagues specializing in mergers and acquisitions on matters about the 1940 Act as they relate to asset manager transactions.
  • Contribute to the formulation and execution of leveraging strategies for closed-end funds and business development companies, including rights offerings and preferred stock issuances.
  • Assist clients in navigating emerging structures and strategies for registered and regulated investment companies by maintaining awareness of industry trends and regulatory developments.
  • Draft, review, and negotiate complex legal documentation associated with fund formation, operations, offerings, and compliance matters.
  • Support clients throughout all phases of fund lifecycles by offering practical advice on operational issues as well as long-term strategic planning.
  • Participate in thought leadership by engaging in discussions concerning new advancements within the investment management sector.
  • Work collaboratively within multidisciplinary teams to ensure seamless client service across various practice areas.
  • Dedicate time to the firm’s pro bono initiatives by participating in projects that resonate with your interests.

Key Requirements :

  • Demonstrable experience advising on 1940 Act registered funds and business development company matters acquired at a peer law firm or equivalent institution is indispensable for success in this role.
  • A robust academic record evidencing high achievement is required to meet the exacting standards upheld by this team.
  • Proven ability to deliver clear corporate and regulatory guidance concerning governance structures of registered investment companies is highly esteemed.
  • Experience collaborating with cross-practice teams—particularly those focused on mergers and acquisitions—on complex transactional matters involving asset managers is advantageous.
  • Exceptional drafting skills for preparing legal documents related to fund formation, operations, offerings, compliance issues, and leveraging strategies are essential.
  • A thorough understanding of current trends influencing registered investment companies—including closed-end funds, mutual funds, exchange-traded funds, and business development companies is important for providing pertinent advice.
  • Outstanding interpersonal abilities that facilitate effective communication with clients as well as internal teams are vital for cultivating trusted relationships.
  • A commitment to professional advancement demonstrated through participation in training or mentoring programs is valued by this group.
  • Enthusiasm for engaging in pro bono work that aligns personal interests with wider community objectives is encouraged within the team.
