The candidate should have commercial lending and real estate experience. Should have proficiency in MS office apps and Adobe Acrobat.
Should have advanced knowledge of MS Word in particular, especially in tracking changes and styles. Should have strong computer skills.
Should have strong proofreading skills. Should have ability to manage heavy document production. Should have organization skills, and keeping current with workloads and calendars.
Review attorneys' comments which include edit, redline, compare & merge and assembled all real estate legal documents for execution by all parties
Manage critical dates list such as feasibility periods, closings, deposits, extensions, title objections, etc. Tracking and updating contract critical dates.
Set up and manage entities in various jurisdictions including formation, EINs, company agreements, resolutions. Completing paperwork for Registration of Agent for service of process and Foreign Entity in applicable States.
Complete necessary documentation for Entity Certificates of Good Standing from applicable states and file
Populate initial drafts of entity Regulations, Operating Agreements, Limited Partnerships, Management Agreements, Asset Management Agreements and Development Services Agreements (and Commission Agreement)
Prepare initial KA form lease and rent schedule. Prepare initial contract draft with basic info (seller, price, signature blocks, notice provisions).
Prepare draft amendments and letters exercising extensions.
Assist with Builder’s Risk Insurance proposals and Insurance Certificates and cancel Builder’s Risk when Landlord / Owner’s or Tenant’s Property Insurance becomes effective.
Assist with KA Tenant’s Commercial General Liability / Property Insurance.
Assist with Crowd Funding administration : review of letters of accreditation, fund monitoring, adding investors to master list with contact info and amount invested and creating project specific investor list, saving Investment Agreements and W-9s to Z drive.
Assist with closings. Preparation of closing instructions and escrow letters and preparing final loan documents for signatures, scanning and sending to lender, originals to title company for recording and overnighting.
Order UCC searches required by lender. Complete state required tax forms and ancillary documents in connection with closingsa and certificates of beneficial ownership.
Draft cover letters to title company and lenders.
Assist with preparation of Contract and Lease Summaries
Complete check requests for Earnest Money, etc.
Complete UPS overnight labels.
Prepare new folders and project binders.
Filing of contracts, leases, amendments, various property related agreements, entity documents, title, survey, etc. in electronic files.
Scanning closing documents and saving to closing binder.
Scanning other documents as applicable and saving the electronic files.
Assembling and preparing closing binders.
