DescriptionSummary : The Senior International Paralegal supports assigned Legal Department attorneys in the drafting, comparison, and distribution of agreements, obtaining physical or electronic signatures, supporting transactions and corporate governance matters, with an emphasis on agreement and other document review and preparation in both Spanish and English.

This position works in conjunction with and under the supervision of designated international attorneys and may have significant interaction with in-house attorneys in our Latin American subsidiaries and outside counsel in Latin America.

Must have the ability to exercise independent judgement as appropriate within the scope of assigned responsibilities.Responsibilities : Draft Corporate resolutions, Shareholders meetings, Board resolutions, Committee resolutions, Board presentations, and revisions to entity Bylaws and other organizational documents.

Translates small documents and correspondence to and from English and Spanish. Draft and review Agreements in coordination with a supervising attorney, Affidavits, Consents, Letters, and other documents necessary in the day-to-day management of the International Legal Latam function.

Provides support to assure proper and timely corporate legal entity maintenance, including support of regular approvals of financial documents and coordinate corresponding registration in Latin American countries registries.

Preparation and updates of issues list and key agreement terms.In coordination with Supervising Attorney, work with transaction parties to prepare closings for merger and acquisition transactions, management services agreements, and corporate venture transactions.

Prepare, review and update template contracts and loan documents, including related guaranties. Actively participate in the department or functional area process improvement initiatives, including in contract management.

Spends his / her time on what’s important, mindful of project, department and team priorities and needs; can quickly sense what will help or hinder accomplishing a goal and works to address any roadblocks or lack of consensus on required actions.

Draft and revise policies as directed by supervising attorney.Coordinate, review and prepare due diligence materials.Research legal and regulatory issues and prepare concise summaries of findings.

Work cooperatively with international attorneys to ensure contracts are being executed in a timely manner and executed contracts are being properly uploaded in the respective contract management system.

Requirements : Bachelor’s Degree preferred.English and Spanish speaker / grammar at native level.Excellent organization, writing and interpersonal skills.

Ability to communicate affectively and work collaboratively with internal clients, Legal and International Department’s colleagues and other leaders and staff within Christus and its Latin American affiliates.

Ability to prepare / send concise and professional emails and correspondence in connection with responsibilities, with minimal need for editing.

Ability to manage multiple priorities simultaneously and consistently meet deadlines.Orientation to be proactive in preventing problems.

Demonstrated strong attention to detail and good follow-through on projects / issues.Ability to handle and maintain confidential information in an appropriate and professional manner.

Exhibit discretion, good decision making, time management, and teamwork.Minimum of 5 years of relevant paralegal experience, in an in-house corporate legal department or law firm.

Experience managing a significant caseload of a variety of matters and responsible for providing similar support.Experience working on legal matters involving Mexico or other Latin American countries is a plus.
