A law firm in Palo Alto is seeking a Mid to Senior-Level Corporate (Capital Markets) Associate Attorney with 4-8 years of experience.
The ideal candidate will have expertise in capital markets and securities transactions, including IPOs, debt offerings, equity offerings, and corporate governance matters.
Duties :
- Handle a variety of capital markets and securities transactions, including IPOs, debt offerings, and equity offerings.
- Provide legal advice on public disclosure requirements and corporate governance matters.
- Draft and review offering documents, prospectuses, and other transactional documents.
- Conduct due diligence and manage transactional closings.
- Advise clients on compliance with securities laws and regulations.
- Assist with drafting and negotiating contracts and agreements related to corporate transactions.
- Collaborate with clients and colleagues to achieve strategic business objectives.
- Stay updated on relevant legal developments and industry trends.
Requirements :
- 4-8 years of experience in capital markets and securities transactions.
- Strong understanding of IPOs, debt offerings, and equity offerings.
- Experience advising on public disclosure and corporate governance matters.
- Demonstrated ability to manage complex transactions from start to finish.
Education and Certifications :
- Juris Doctor (J.D.) degree from an accredited law school.
- Admission to the California State Bar or eligibility for admission via reciprocity.
Skills :
- Excellent drafting and negotiation skills.
- Strong understanding of securities laws and regulations.
- Ability to analyze complex legal issues and provide practical advice.
- Effective communication skills, both written and verbal.
