About the Role :

Were on the hunt for an experienced Venture Capital & Emerging Companies Associate to join our client's corporate practice in Boston .

The ideal candidate will have 4+ years of transactional experience and will quickly integrate into a dynamic venture capital and emerging companies' practice.

This role involves leading key venture capital negotiations, drafting agreements, and advising emerging companies on a variety of matters.

Your Mission :

• Draft and negotiate venture capital investment agreements, including NVCA forms.
• Lead negotiations of key terms for venture capital investments.
• Supervise, train, and mentor junior associates on all aspects of venture capital financing.
• Advise emerging companies on day-to-day matters, including board and stockholder communications, approvals, and equity awards.

Core Competencies :

• Venture Capital & Emerging Companies Expertise : Strong experience drafting and negotiating venture capital agreements and advising emerging businesses.
• Client Counseling : Ability to advise clients on complex matters related to venture capital financing and corporate governance.
• Leadership & Mentorship : Proven ability to lead and mentor junior associates in corporate legal practices.
• Communication & Collaboration : Excellent written and verbal communication skills, with the ability to collaborate effectively in team settings.

What You Bring :

• Juris Doctor (JD) or LLM from an ABA-accredited law school.
• Admitted or eligible for admission in Massachusetts .
• 4+ years of venture capital and emerging company practice experience.
• Proficiency with Excel and capitalization tables .
• Strong organizational skills with attention to detail .
• Ability to collaborate effectively in team settings and manage competing responsibilities.

Work Environment & Benefits :

• Competitive salary ranging from $310,000 to $365,000 , plus bonus eligibility .
