Our client, a  global  AmLaw 50  firm , is seeking a talented  Associate Attorney  to join its nationally recognized  Private Equity Practice Group . This is an exceptional opportunity to work on sophisticated, market-leading transactions for top-tier private equity sponsors and their portfolio companies across diverse industries. The role offers a high degree of responsibility, client interaction, and cross-border exposure within a collaborative and high-performance environment.

Candidate Profile

  • JD  from a  top-tier law school  with a  strong academic record
  • Active Bar Admission in Pennsylvania , in good standing
  • 4-6 years  of substantive experience in  private equity transactions
  • Transactional Expertise : Significant experience with  mergers and acquisitions  (M&A),  leveraged buyouts ,  recapitalizations , and  portfolio company operations
  • Deal Leadership : Proven ability to  lead deal teams  and manage complex transactions  from inception to closing
  • Prior  AmLaw 100 or similarly sophisticated law firm  experience preferred
  • Strong drafting, negotiation, and organizational skills
  • Excellent communication and interpersonal skills, with the ability to develop strong client relationships

Key Responsibilities

  • Represent  private equity sponsors  and  portfolio companies  in  domestic  and  cross-border M&A ,  leveraged buyouts , and  strategic transactions
  • Lead and manage all phases of complex transactions, including  structuring ,  negotiation ,  documentation , and  closing
  • Draft and negotiate  purchase agreements ,  equity documents , and  ancillary agreements
  • Collaborate with colleagues across tax, finance, regulatory, and other practice groups to provide integrated legal solutions
  • Serve as a  primary point of contact  for clients, offering strategic guidance and responsive counsel

    Compensation & Benefits

  • Competitive Salary : $310,000+ , commensurate with experience and class year
