UB Greensfelder currently has an opening for an associate attorney in the Corporate / M&A Practice Group to work in our St.
Louis office, primarily on corporate transactions, particularly those related to tax matters. Missouri law license required .

Qualified Applicants Will Have :
- CPA, accounting and / or finance background strongly preferred.
- 3+ years of experience negotiating and drafting primary and ancillary documents for mergers, acquisitions, divestitures, joint ventures, credit facilities and other corporate transactions.
- A broad knowledge and deep understanding of general corporate law, as well as tax and accounting principles.
- Experience participating in due diligence for both targets and acquirers, transaction and entity structuring, and related tax matters.
- Experience representing issuers in private placements of equity securities and underwriters in securities offerings; securities reporting compliance and representing of borrowers in the procurement of senior and mezzanine credit facilities.
- Superior written and verbal communication skills are required.
- Excellent analytical / problem solving skills and attention to detail.
- Outstanding organizational and time management skills with ability to meet deadlines in fast-paced environment.
