Job Overview :
A law firm is seeking a highly skilled Mid-to-Senior Tax-Exempt Organizations and Philanthropy Associate Attorney with significant experience advising private foundations and charitable organizations on complex legal and tax issues.
The ideal candidate will handle matters related to nonprofit organizations, philanthropy, tax-exempt status, and other complex transactions.
The role will involve providing strategic counsel to clients, including structuring mergers, affiliations, and joint ventures.
The successful candidate will also represent tax-exempt organizations in federal and state audits on tax and charitable matters.
Job Responsibilities :
- Advise private foundations and charitable organizations on complex legal and tax matters.
- Form and obtain tax exemptions for nonprofit corporations and charitable trusts.
- Provide legal guidance on grant agreements, tax compliance, and succession planning for private foundations.
- Counsel philanthropists on charitable gifting strategies, including the use of donor-advised funds.
- Advise large 501(c)(3) organizations on corporate governance, tax exemption issues, and unrelated business taxable income (UBTI).
- Structure and negotiate mergers, affiliations, and joint ventures involving nonprofit organizations.
- Provide advice on complex legal structures involving both for-profit and not-for-profit entities.
- Represent tax-exempt organizations in federal and state audits on tax compliance and charitable issues.
- Monitor developments in tax law and ensure clients are informed of changes that may impact their organizations.
- Draft and review legal documents, including formation documents, contracts, and governance materials.
- Assist clients in succession planning, philanthropic strategies, and regulatory compliance.
Requirements :
- Juris Doctor (JD) degree from an accredited law school.
- Licensed to practice law in the state of Georgia or eligibility to waive into the Georgia Bar.
- Experience working with tax-exempt organizations and philanthropy law.
- In-depth knowledge of federal and state tax laws as they apply to nonprofit organizations.
- Proven experience in advising private foundations, public charities, and philanthropists on complex legal and tax issues.
- Ability to handle complex transactions, including mergers, joint ventures, and affiliations involving nonprofit entities.
- Experience representing tax-exempt organizations in federal and state audits.
Education :
A Juris Doctor (JD) degree is required from an ABA-accredited law school.
Certifications :
Must be a member in good standing of the Georgia Bar or be eligible for admission.
