Corporate associates tired of focusing on only one area of law, this is the job for you. This newly created position includes a broad range of responsibilities with everything from securities reporting and complex commercial transactions to data privacy and corporate governance.

Responsibilities :

  • Assists with SEC and NYSE reporting and compliance, including the preparation and review of quarterly, annual, and current reports, Section 16 filings, and proxy statements.
  • Drafts, reviews, and negotiates various complex commercial agreements, including service agreements, vendor contracts, software licenses and subscriptions, and nondisclosure agreements.
  • Assists with the review of press releases, earnings releases, and investor presentations, sustainability reporting, and general corporate governance matters.
  • Assists with, leads, and advises internal clients on a variety of business transactions, including the development of new services and solutions, acquisitions, capital markets transactions, financings, strategic alliances, and other strategic transactions.
  • Reviews and assists in the development of marketing materials.
  • Supervises, drafts, and maintains forms of agreements utilized for sales of the Company’s solutions.
  • Advises and provides support to the sales force generally, including regarding responses to inquiries from clients.
  • Assists with monitoring and registration of intellectual property rights.
  • Advises on data security and privacy matters.

Qualifications :

  • Minimum of seven (7) years of combined law firm and in-house transactional legal experience, or at least five (5) years of experience at a large, top-tier law firm, with a focus on negotiating and drafting agreements, corporate governance matters, and knowledge of contract law and general corporate law.
  • Significant experience with negotiating, drafting, and coordinating complex transactional matters.
  • Significant experience with corporate governance matters, securities and SEC compliance and disclosure requirements applicable to public companies.
  • Ability to identify, comprehend and manage a variety of complex legal issues in a transactional setting, such as the skills required to lead mergers and acquisitions or corporate finance transactions.
  • Experience with software licensing, and cloud-based software subscriptions is strongly desired.
  • Experience with data privacy and data security matters in a transactional setting, or a willingness to obtain (with Company support) data privacy certifications, is also desired.
  • J.D. from an accredited law school required.
  • Current law license required, preferably from the state of Texas.
