Position Summary

The Sr Counsel - Transactions will support servicing transactions by providing legal guidance and managing documentation. Responsibilities include drafting, reviewing, and negotiating servicing-related and securitization agreements, aligning with business and regulatory standards. The role involves collaborating with internal teams and external counsel to ensure timely execution, mitigate risks, and adapt to legal changes. Strong transactional experience and attention to detail are essential.

Description and Responsibilities

• Draft, review, and negotiate servicing agreements, securitization documents, and ancillary documents.
• Manage deliverables related to servicing transactions.
• Coordinate with internal teams to ensure legal documentation aligns with business goals.
• Advise on legal and regulatory issues.
• Partner with outside counsel as needed.
• Monitor legal developments affecting transactions.
• Negotiate other agreements like MLPA, NDAs, broker, and correspondent agreements.
• Perform additional duties as assigned.
