Team :

Our legal team is small, nimble, and entrepreneurial : a startup within a startup. Our Corporate & Commercial Counsel will partner closely with our finance and executive teams on all corporate and securities law matters, including corporate governance, corporate transactions, and equity administration.

You will also partner closely with our supply chain and business teams to build and strengthen relationships with our vendors and business partners, including advising on sourcing strategies, negotiating contracts, and managing disputes.

You will support Relativity as we develop our Factory of the Future, and partner with cross-functional teams to design and implement new policies, processes and controls and to navigate a myriad of issues as we continue to scale.

We need a lawyer who is entrepreneurial, eager to develop new skills and tackle new projects, and willing to present creative solutions to challenges you come across, all while being driven by a strong ethical compass.

This role will sit in Relativity's office in Long Beach, CA. Fully remote options are not available.

What you'll do :

  • Handle all corporate and securities law matters, including corporate governance issues, entity management, and compliance with securities laws and regulations.
  • Serve as lead in-house corporate counsel, including managing outside counsel, on all corporate transactions, including secondary and primary financing transactions and M&A.
  • Oversee equity plan administration, including capitalization table management.* Collaborate with Finance, Accounting, People, and executive teams on improving processes and policies.
  • Partner with Relativity's supply chain and business teams to manage the full life cycle of our vendor contracts.* Structure, review, and negotiate a broad range of vendor agreements.
  • Advise business stakeholders on legal and commercial risks associated with all phases of our vendor relationships, from sourcing to wind down, in collaboration with IP, regulatory, finance, logistics, and other business teams.

What you need to know :

  • 7+ years of relevant experience at a top-tier corporate law firm and / or in-house legal team.* Corporate expertise and solid knowledge of corporate and securities law pertaining to private startups.
  • Experience with corporate and financing transactions.* Excellent contract drafting skills with an ability to find creative solutions when negotiations are at an impasse.
  • Demonstrated ability to communicate clearly, both orally and in writing, to internal stakeholders and senior leadership.
  • Demonstrated ability to juggle competing priorities and deadlines in a fast-paced environment.* Demonstrated ability to offer pragmatic advice by balancing legal risk with real-world considerations.
  • Good corporate "athlete" with growth mindset and eagerness to learn all aspects of Relativity's business and support overflow work from other legal department personnel as needs arise.

Nice to have but not required :

  • Experience in aerospace, hardware, or manufacturing industries.* Experience with employment and / or employee relations matters.
  • Experience with accounting matters.* In-house experience, especially in a startup environment.
