Our client is seeking an experienced Associate to become an integral part of their firm, working closely with clients, partners, and other attorneys to provide counsel, draft legal documents, and contribute to the successful execution of client transactions.

Responsibilities
Transaction Support : Assist in the negotiation, structuring, and execution of mergers and acquisitions, joint ventures, and other corporate transactions.
Maintain regular communication with clients to provide updates on matters and address any concerns. Participate in client meetings, negotiations, and settlement discussions.
Litigation Support : Manage a diverse caseload of commercial litigation matters from inception to resolution. Collaborate with senior partners to develop litigation strategies.
Communicate with and represent clients in conferences, hearings, trials, arbitrations.
Client Counseling : Provide legal advice and strategic guidance to clients on a wide range of corporate matters such as labor and employment, compliance / governance, contract negotiation, and more, helping to mitigate clients’ risk by ensuring compliance with applicable laws, regulations, and industry standards.
Document Drafting : Prepare and review legal documents, including contracts, agreements, and corporate governance documents.
Due Diligence and Legal Research : Conduct due diligence reviews and assessments to identify potential legal issues and risks.
Stay current on relevant legal developments and conduct research to support client matters.
Must haves :
Juris Doctor (JD) degree from an accredited law school.
Active bar membership in good standing in NJ, NY or PA. (NJ being the top one)
3 to 5+ years of relevant experience and a strong understanding of corporate law, mergers and acquisitions, and transactional matters
3 to 5+ years of litigation experience (both Federal and state) in a reputable law firm
