Temp to Perm Senior Securities Paralegal
Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for an Interim to Perm Securities Paralegal.
Overview : Our Outsourcing Services Client is adding a Senior Securities Paralegal to its Dynamic Legal Team.
Company : Global Outsourcing Services Organization with 10,000 employees and 1 billion + in Revenue’
Responsibilities Include :
Securities :
Support the preparation of SEC filings (e.g., 10-Ks, 10-Qs, 8-Ks, S-8s and proxy statements) and associated disclosure control processes, among other responsibilities.
Miscellaneous Corporate Responsibilities :
Assist in the management of corporate governance matters for legal entities, including, charter and by-law changes, maintenance of minute books, stock registers and current officer and director listings, among other responsibilities;
Corporate Insurance Administration
- Primary liaison between insurance broker and company.
- Provide Certificate of Insurance for clients ( 600 COIs per year) as may be required by contract and respond to internal insurance queries in connection with contract negotiations, among other responsibilities.
Equity Administration-
Partner with Equity Administration team to help oversee employee equity plans, including the employee stock purchase plan and international equity plans, grant approvals and administration, RSU releases, and audits, among other responsibilities.
Qualifications :
BA Degree plus at least 5 years of corporate legal / paralegal experience performing some or all of the tasks noted set forth above
