PositionOverview
The firm isseeking an experienced Senior Associate Attorney to join its expanding securities practice . Thisis a fantastic opportunity to engage in sophisticated corporatesecurities work within a dynamic and entrepreneurialteam .
KeyResponsibilities
- Advise public companies on compliance with the Securities Act of 1933 and SecuritiesExchange Act of1934
- Manage public and private securitiesofferings
- Navigate national securities exchange listingrequirements
- Handleregulatory filings including Forms 10K 10Q 8K and proxystatements
- Draft andmanage Section 16 filings (Forms 3 45)
- Provide corporate governanceadvice including drafting board resolutions and policies
- Experiencewith brokerdealers FINRA investment advisors or fundformation is aplus
Qualifications
- 6years of experience in securitieslaw
- Expertise in publiccompany regulations and securitiesofferings
- Baradmission in the relevant jurisdiction (Boston NYCPhiladelphia or WashingtonDC)
