Job Overview :
A law firm is seeking a Corporate Mergers and Acquisitions Private Equity Associate Attorney with 4-6 years of relevant experience to join its IT team in Atlanta, GA.
The ideal candidate will have a strong background in mergers and acquisitions and private equity transactions, excellent writing and analytical skills, and experience working in an Am Law 100 firm.
Duties and Responsibilities :
- Represent clients in complex mergers and acquisitions, private equity transactions, and corporate matters.
- Draft, review, and negotiate transaction documents, including purchase agreements, shareholder agreements, and other corporate contracts.
- Advise clients on corporate governance issues and compliance with federal and state securities laws.
- Work closely with partners, associates, and clients to ensure successful transaction closings.
- Manage multiple transactions simultaneously, ensuring all deadlines are met.
- Assist in structuring transactions and providing strategic legal advice to clients.
- Stay abreast of industry trends and changes in relevant laws and regulations.
- Participate in business development activities and client pitches.
Requirements :
- 4-6 years of mergers and acquisitions and private equity transactional experience.
- Experience working in an Am Law 100 law firm.
- Excellent writing and analytical skills.
- Strong organizational skills and attention to detail.
- Ability to manage multiple projects and meet deadlines in a fast-paced environment.
- Strong interpersonal and communication skills.
- Ability to work both independently and as part of a team.
Education and Certifications :
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Admission to the Georgia Bar.
Skills :
- Proficiency in legal research and writing.
- Advanced knowledge of corporate law, mergers and acquisitions, and private equity transactions.
- High level of professionalism and strong work ethic.
- Ability to build and maintain strong client relationships.
- Proficiency in using legal research tools and technology.
