Position Overview :

The Head of Legal will lead strategic and tactical legal initiatives for PharmaEssentia USA and will work with the broader Global legal team.

This position will provide the Executive and Leadership Teams with legal advice on company strategies and their implementation.

This position will be directly involved in risk mitigation, corporate governance, complex business transactions and negotiating critical contracts.

The right candidate will have a strategic mindset and a strong business orientation, with the ability to lead and manage a growing legal function in a fast-paced environment.

Key Responsibilities

  • Manage the US Legal functions including Compliance and Contracts as we continue to build and develop a robust compliance program for the PharmaEssentia U.S. organization.
  • Support the development and implementation of programs and processes to ensure compliance with laws and regulations governing the pharmaceutical industry, as well as company policies.
  • Provide guidance to business partners including Marketing, Sales, Market Access, Patient Services, Medical Affairs, and Advocacy on compliance policies and remediation & all legal activities.
  • Develop and implement the legal department's strategic direction in alignment with the company's business objectives.
  • Provide high-level legal advice and guidance to executive leadership and the board of directors on legal matters.
  • Oversee corporate governance matters, regulatory filings, and compliance with legal and regulatory requirements.
  • Ensure adherence to corporate policies and guidelines across the organization.
  • Identify legal risks and opportunities for the organization and develop strategies to manage and mitigate them effectively.
  • Implement robust risk management processes and compliance programs to ensure adherence to applicable laws and regulations.
  • Review, negotiate, and finalize complex contracts, agreements, and transactions, including mergers and acquisitions, partnerships, and joint ventures.
  • Provide strategic legal counsel to protect the company's interests in contractual relationships.
  • Manage and oversee litigation and dispute resolution processes, including working closely with external legal counsel when necessary and providing legal strategy.
  • Develop litigation strategies that align with the company's objectives and minimize legal risks.
  • Collaborate with external legal counsel in employment-related litigation.
  • Manage the protection and enforcement of the company's intellectual property assets, including trademarks, patents, and copyrights.
  • Stay informed about evolving legal and regulatory developments that impact the company's operations and industry.
  • Represent the company in legal matters with professionalism and integrity.
  • Partners with the People team in addressing complex employee relations issues and advise on appropriate resolutions.
  • Stay updated on developments in employment law and related regulations to provide timely and accurate legal advice.

Required Qualifications

  • Juris Doctor (JD) degree from an accredited law school and active bar membership.
  • 12+ years of pharmaceutical industry experience (medical device or other closely related industries may be considered if experience is particularly relevant).
  • At least 12 years of substantive experience in life sciences compliance, in-house at a pharmaceutical company, and / or at a firm counseling life sciences industry clients.
  • Understanding of US healthcare laws, regulations, and industry codes.
  • Demonstrated ability to apply ethical principles to real-world circumstances and challenges, fostering a culture of integrity.
  • Experience in handling confidential and sensitive situations, with an ability to exercise a high degree of judgment and discretion.
  • Strong knowledge of corporate law, contracts, intellectual property, regulatory compliance, transactional and risk management.
  • Strategic mindset with the ability to provide legal guidance that aligns with business objectives.
  • Demonstrated ability to manage complex legal matters and deliver results under pressure.
  • Ethical and professional integrity, with the ability to maintain confidentiality and handle sensitive information.
