This is a remote position.

Carbon Law Group is a dynamic and growing law firm dedicated to assisting small to medium-sized businesses with their legal needs.

Our mission is to provide high-quality legal services that support and enhance the growth and success of our clients. We are looking for a skilled and motivated Corporate Counsel to join our team on a part-time basis (approximately 10-20 hours week).

Job Description :

As a Part-Time Corporate Counsel, you will be responsible for providing comprehensive legal support to our company. Your primary duties will include :

  • Contract Drafting and Review : Draft, review, and negotiate a variety of commercial agreements, including vendor contracts, client agreements, NDAs, and licensing agreements.
  • Corporate Governance : Assist with corporate governance matters, including maintaining corporate records and ensuring compliance with relevant regulations.
  • Legal Compliance : Advise on regulatory compliance, employment law, intellectual property, and other legal matters pertinent to the client’s business.
  • Risk Management : Identify and mitigate legal risks, provide strategic legal advice to the management team, and support internal policies and procedures.
  • Mergers and Acquisitions : Provide legal support and advice on mergers and acquisitions, including due diligence, transaction structuring, and post-transaction integration.
  • Business Development : Handle calls and business development activities to attract new clients and generate new business opportunities for the firm.

Requirements

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in good standing with California state bar.
  • Experience as a corporate counsel or in a similar role is preferred. New lawyers who are able to learn quickly are also welcome to apply
  • Strong knowledge of corporate law, contract law, regulatory compliance, and mergers and acquisitions
  • Excellent drafting, negotiation, and communication skills
  • Ability to work independently and manage multiple priorities
