Overview

Our client, a national law firm, is seeking a Corporate Paralegal. This individual will support attorneys and legal staff in all aspects of corporate transactions, including M&A, financings, and fund formations.

Base pay range

$150,000.00 / yr - $160,000.00 / yr

Additional compensation types

Requirements

Candidates must have experience in Securities & Capital Markets (non-negotiable), including Edgar filing and SEC forms

Responsibilities

  • Form and maintain entities; draft / file formation documents; manage minute books and corporate records.
  • Prepare and file annual compliance documents across multiple states.
  • Assist with acquisitions and dispositions : prepare certificates, filings, and closing documents.
  • Maintain closing binders, agreement archives, audit letters, D&O questionnaires, and public filing records.
  • Prepare and file UCCs, tax liens, and related documents; assist with due diligence.
  • Handle multi-state qualifications and withdrawals.
  • Draft and file Regulation D, Rule 506 notices; conduct blue sky research and filings (NASAA EFD experience required).
  • Support securities filings : assist with Section 16, stock exchange, and SEC reports.
  • Coordinate closing documents and post-closing follow-up for securities offerings.

    • Qualifications

  • A bachelor's degree is required. Paralegal certificate is a plus.
  • 3–7 years of corporate paralegal experience in a law firm or professional services environment.
  • Candidates must have experience in Securities & Capital Markets (non-negotiable), including Edgar filing and SEC forms.
