We are seeking a skilled and motivated Assistant General Counsel to join our legal team. Reporting directly to the General Counsel and Chief Compliance Officer, the Assistant General Counsel will play a crucial role in providing legal guidance and support across various aspects of the company's operations, with a focus on contract review, regulatory compliance, E&O / litigation management, and risk management.

Responsibilities

  • Legal Compliance : Monitor and ensure compliance with federal and state laws and regulations governing benefits administration, including Medicare Marketing Guidelines, the Internal Revenue Code, ERISA, HIPAA, COBRA, ACA, and other relevant statutes.
  • Contract Review and Negotiation : Review, draft, and negotiate a wide range of contracts, agreements, and legal documents, including client contracts, vendor agreements, and partnership agreements.
  • Risk Management : Identify legal risks and provide strategic advice to mitigate potential liabilities. Develop and implement policies and procedures to minimize legal exposure.
  • Regulatory Affairs : Stay abreast of changes in laws and regulations affecting the benefits administration industry. Provide guidance to internal stakeholders on compliance requirements and best practices.
  • Litigation Support : Collaborate with external legal counsel as needed on litigation matters. Assist in managing disputes, claims, and regulatory inquiries.
  • Training and Education : Conduct training sessions and workshops for internal teams to promote legal awareness and ensure adherence to legal requirements.

Skills and Qualifications

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the bar in good standing in at least one state.
  • 5-7+ years of experience practicing law with deep contract review experience from either the vendor or procurement perspective.

Experience in benefits administration or a related field is preferred.

  • Strong knowledge of federal and state laws governing benefits, including regulations governing the marketing of Medicare Plans, ERISA, HIPAA, ACA, and COBRA.
  • Excellent analytical, problem-solving, and communication skills.
  • Ability to work independently and collaboratively in a fast-paced startup environment.
  • High level of integrity, professionalism, and attention to detail.
