We are seeking an individual to fill the role of Legal Counsel in the company's West Los Angeles Office. The successful candidate will be experienced in handling a wide range of executive and administrative support-related projects and will be able to work both independently and as part of a team.
Must have the ability to interact with staff (at all levels). Should have the ability to be proactive, resourceful, and efficient, with a high level of professionalism and confidentiality.
Expert written and verbal communication skills, strong decision-making ability, and attention to detail are equally important.
Essential Job Duty and Responsibilities
Commercial Leasing
- Draft and negotiate new commercial lease agreements, lease amendments, assignments, etc.
- Draft default letters and other legal correspondence relating to landlord / tenant issue and disputes.
- Serve as liaison with outside attorneys, as necessary, for outsourced legal work.
- Maintain comprehensive lists / spreadsheets of typical exhibits and existing exclusive uses and restrictions at each property.
General Transactions / Contracts
- Draft and negotiate various contact documents relating to construction, financing, and commercial and multifamily operations as directed.
- Communicate and coordinate with other members of the Shapell Legal Department relating to the following areas :
- Acquisitions and Dispositions
- Title issues
- Financing
- Employment or employee matters
- Environmental Issues
- ADA Compliance
- Maintaining detailed, organized filing for all work product.
- AD-hoc interpretation of legal documents as requested.
- Working internally with other Shapell departments to address their legal needs.
Corporate
Draft and file new corporate formation documents, amendments to existing corporate formation documents, corporate minutes, resolution, annual statements, and filings, and ensure compliance with corporate record keeping.
Insurance
Support risk management functions of Shapell Legal Department relating to insurance claims, including interfacing with third party insurance representatives and third-party administrator teams for commercial and multifamily operations.
Job Requirements
Minimum 3 years of transactional legal experience, preferably related to real estate and corporate matters.
