Overview
SGH is seeking a motivated and dynamic Commercial Counsel to join our legal team. This role is ideal for someone early in their career who is eager to learn and be mentored and embodies a can-do attitude with a growth mindset.
As Commercial Counsel, you will be instrumental in driving contracts to closure and spearheading initiatives to implementation while ensuring the highest quality of work.
You will be part of a team that values collaboration, excellence, and continuous improvement. This person will report directly to the Vice President and Deputy General Counsel.

Responsibilities
- Commercial Contracts - Draft, review, negotiate, and finalize a variety of commercial contracts, with a primary focus on commercial transactions for our Stratus and Penguin business units.
- Cross-Functional Collaboration - Work closely with internal stakeholders, including sales, procurement, finance, and operations teams, to facilitate the smooth and efficient execution of contracts and initiatives.
- Risk Mitigation - Identify and mitigate legal risks associated with commercial transactions and provide strategic advice to minimize potential liabilities.
- Policy and Procedure Development - Assist in the development and implementation of company policies and procedures to ensure compliance with legal and regulatory requirements.
- Continuous Improvement - Proactively identify opportunities to improve contract processes and operational efficiencies.
Qualifications
- Juris Doctor (JD) from an accredited U.S. law school and an active member in good standing of a U.S. state bar. If you are based in California, must have California bar or be eligible to register in California as in-house counsel.
- 3-5 years of relevant legal experience, with a focus on commercial transactions, technology, and managed services.
- Strong negotiation, drafting, and analytical skills. Excellent communication and interpersonal skills.
- Strives for high-quality work product provided efficiently with a growth mindset. Willingness to be mentored and to continuously improve skills.
- Demonstrated ability to work independently and as part of a team. Proactive, adaptable, and able to thrive in a fast-paced, dynamic environment.
A sense of humor and a passion for commercial.
Location
Strong preference for candidates in the San Francisco Bay Area who can work onsite 2-3 days per week at our Milpitas, California headquarters.
Travel
If located beyond the San Francisco Bay Area, occasional travel to our headquarters may be required.
The annual base salary that the Company reasonably expects to pay for this position in California is $155,000 - $180,000;
the pay ultimately may vary based on business considerations, including job-related knowledge, skills, experience, location and education.
The position is bonus and equity eligible, and there are medical, dental, and vision benefits available. There is a 401k saving plan and other benefits, such as paid time off, life insurance, and an employee assistance plan.
