We are currently partnering with a publicly traded Real Estate Investment firm that is looking to grow their legal team and support the Chief Legal Officer on a variety of corporate and securities related legal matters.
This individual will be a generalist and have the chance to work with C-suite executives on a variety of transactions and be heavily involved in deals.
This is an exciting opportunity to be part of a small-knit collaborative team with a runway for growth and the ability to receive great mentorship internally.
Responsibilities
- Provide legal expertise to the GC and senior management on all general corporate and capital market transactions, including SEC-registered equity and debt offerings.
- Assist the GC with ’34 Act filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements for annual meeting of stockholders and similar filings.
- Assist with drafting and reviewing contracts, including non-disclosure agreements (NDAs), vendor agreements and commercial agreements.
- Interface with the NYSE, transfer agent and other parties that are key to public company operations.
Requirements
- JD from a top tier Law school
- 4-6 years of experience within private practice, in-house environment or mix of both
- Public Company experience required
- Experience with the Securities Act of 1933 & 1934
