An Am Law 100 firm with a top-ranked corporate practice seeks a Corporate Associate with 3-6 years of experience to join its New York office. This role offers the opportunity to advise on complex, cross-border transactions and work directly with leading corporations, private equity sponsors, and financial institutions.
About the Role
The associate will support and lead workstreams on a broad range of transactional matters, including :
Public and private mergers and acquisitions, including tender offers, asset purchases, stock purchases, mergers, and carve-out transactionsPrivate equity and venture capital investments, including leveraged buyouts, minority investments, and co-investment structuresJoint ventures, strategic alliances, and recapitalizationsCapital markets transactions, including private placements, Rule 144A / Reg S offerings, and PIPE transactionsCorporate governance and securities compliance under the Securities Exchange Act of 1934 and NYSE / Nasdaq listing standardsGeneral corporate counseling for portfolio companies and emerging growth entitiesResponsibilities
Draft and negotiate core transaction documents, including purchase agreements, merger agreements, investment agreements, stockholders' agreements, and ancillary documentationManage due diligence and coordinate multi-jurisdictional deal teamsProvide strategic advice on structuring, risk allocation, and regulatory considerationsCollaborate with tax, finance, and regulatory specialists to deliver integrated transaction adviceInterface directly with clients and opposing counsel throughout all deal phasesQualifications
J.D. from an accredited law school with strong academic performanceAdmission to the New York Bar (or eligibility to waive in)3-6 years of transactional experience at a major law firm (Am Law 200 or equivalent)Strong drafting, analytical, and project management skillsDemonstrated experience running workstreams on M&A or private equity transactionsWhy Join
