Position Summary

The Manager, Contracts will join the operations team in direct support of Tang Capitals senior executives and portfolio companies. The Manager, Contracts will be responsible for drafting and reviewing legal documents, supporting corporate transactions, maintaining corporate records, ensuring regulatory compliance and providing legal support to Tang Capitals portfolio companies. This role requires strong organizational skills, the ability to manage multiple tasks and a thorough understanding of corporate and securities law.

Essential Duties and Responsibilities

  • Support in transactions, including assisting with the execution of mergers, acquisitions and other investments, prepare and manage closing checklists, signature pages and execution versions of deal documents, maintain and organize transaction records
  • Manage portfolio companies organizational documents, including forming and maintaining legal entities, drafting and updating organizational documents (operating agreements, bylaws, resolutions, etc.) and managing annual filings and compliance with jurisdictional requirements
  • Draft, review and manage contracts, including NDAs, vendor agreements, service contracts and consulting agreements
  • Ensure confidentiality and proper handling of sensitive legal and financial information
  • Conduct legal research and provide analysis on various legal matters
  • Perform other duties as assigned

Qualifications

  • Bachelors Degree and paralegal certification required
  • Minimum of 4 years of experience as a corporate paralegal, preferably in private equity or corporate law supporting deal execution and entity management
  • Strong understanding of corporate governance, entity formation and maintenance (Delaware preferred
  • Proficiency in managing cap tables and corporate records
  • High attention to detail and organizational skills in managing multiple deadlines and priorities
  • Proactive and resourceful, with the ability to work independently with minimal supervision
  • Strong written and verbal communication skills
  • Proficiency in Microsoft Office (Excel, Word and Power Point) required
  • Demonstrates a high level of integrity, discretion and professionalism in handling sensitive and confidential information
